Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your access to and use of PulsePage, a product feedback and release management platform operated by PulsePage ("we", "us", "our").

By accessing or using our website at pulsepage.app and related services (the "Service"), you agree to be bound by these Terms. If you do not agree, you may not use the Service.

2. Definitions

  • "Account" means your registered account to access the Service
  • "Content" means any text, images, data, or other materials you submit to the Service
  • "Product" means a changelog, roadmap, or feedback board you create within the Service
  • "Subscriber" means an individual who subscribes to receive updates from your Product
  • "Subscription" means a paid plan that provides access to premium features
  • "End User" means visitors who interact with your Product pages

3. Account Registration

3.1 Eligibility

To use the Service, you must:

  • Be at least 18 years old, or the age of majority in your jurisdiction
  • Have the authority to enter into these Terms
  • Not be prohibited from using the Service under applicable law

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activities that occur under your Account
  • Notifying us immediately of any unauthorised access

We recommend using strong, unique passwords and enabling two-factor authentication where available.

3.3 Account Information

You agree to provide accurate and complete information when creating your Account and to keep this information up to date.

4. Use of the Service

4.1 Permitted Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to access and use the Service for your internal business purposes.

4.2 Acceptable Use

You agree not to:

Content Restrictions:

  • Post content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable
  • Upload content that infringes intellectual property rights of others
  • Distribute malware, viruses, or malicious code
  • Collect personal data from other users without consent

Service Restrictions:

  • Attempt to gain unauthorised access to the Service or related systems
  • Interfere with or disrupt the Service or servers
  • Use automated means to access the Service without permission
  • Circumvent usage limits or access controls
  • Reverse engineer or decompile any part of the Service
  • Resell or redistribute the Service without authorisation

Prohibited Activities:

  • Engage in fraudulent or deceptive practices
  • Violate applicable laws or regulations
  • Impersonate any person or entity
  • Use the Service for illegal purposes

4.3 Enforcement

We reserve the right to:

  • Remove or disable Content that violates these Terms
  • Suspend or terminate Accounts for violations
  • Report illegal activities to law enforcement
  • Take legal action to protect our rights

5. Your Content

5.1 Ownership

You retain all ownership rights to the Content you submit to the Service. We do not claim ownership of your Content.

5.2 Licence Grant

By submitting Content to the Service, you grant us a worldwide, non-exclusive, royalty-free licence to:

  • Host, store, and display your Content
  • Reproduce and distribute your Content as necessary to provide the Service
  • Create backups for disaster recovery

This licence is limited to operating the Service and terminates when you delete your Content or Account.

5.3 Your Responsibilities

You represent and warrant that:

  • You own or have the necessary rights to your Content
  • Your Content does not infringe any third-party rights
  • Your Content complies with applicable laws

5.4 Feedback

If you provide suggestions or feedback about the Service, you grant us the right to use such feedback without restriction or compensation.

6. Subscriptions and Payment

6.1 Free and Paid Plans

The Service offers:

  • Start (Free): Basic features at no cost
  • Growth: Advanced features for growing teams
  • Scale: Premium features for businesses

Feature availability is described on our pricing page and may change.

6.2 Billing

For paid Subscriptions:

  • Payment is due in advance at the start of each billing period
  • We accept payment methods as displayed at checkout (processed by Stripe)
  • Prices are in USD and exclude applicable taxes unless stated
  • You authorise us to charge your payment method for recurring fees

6.3 Automatic Renewal

Subscriptions renew automatically at the end of each billing period (monthly or annually) unless cancelled before renewal.

6.4 Price Changes

We may change Subscription prices with at least 30 days' notice. Price changes take effect at your next renewal. Continued use after a price change constitutes acceptance.

6.5 Taxes

You are responsible for all applicable taxes. We will add VAT where required by law.

7. Free Trials

7.1 Trial Period

We may offer free trials of paid features. The trial duration is specified when you sign up.

7.2 Trial Conversion

At the end of a free trial:

  • If you have provided payment details, your Subscription will automatically begin
  • If you have not provided payment details, you will lose access to trial features

7.3 Trial Limitations

Trials are offered at our discretion and may be limited to one per user or organisation.

8. Cancellation and Refunds

8.1 Cancellation by You

You may cancel your Subscription at any time through your Account settings. Upon cancellation:

  • You retain access to paid features until the end of your current billing period
  • Your Account reverts to the Free plan
  • No refund is provided for the remaining period

8.2 Cancellation by Us

We may cancel your Subscription if:

  • Payment fails after reasonable attempts
  • You breach these Terms
  • The Service is discontinued

8.3 Refunds

General Policy: We do not provide refunds for partial billing periods or unused time.

Exceptions:

  • If you are a consumer in the UK and cancel within 14 days of your first Subscription and have not used the Service, you may be entitled to a refund under the Consumer Contracts Regulations 2013
  • We may offer discretionary refunds on a case-by-case basis

8.4 Account Deletion

You may request deletion of your Account by contacting support@pulsepage.app. Upon deletion:

  • Your Content will be permanently removed within 30 days
  • We retain certain data as required by law (see Privacy Policy)

9. Intellectual Property

9.1 Our Intellectual Property

The Service, including its design, code, features, and branding, is owned by us or our licensors and protected by intellectual property laws.

You may not:

  • Copy, modify, or distribute the Service
  • Use our trademarks without written permission
  • Remove proprietary notices from the Service

9.2 Open Source

Certain components of the Service may use open-source software subject to their respective licences.

10. Third-Party Services

10.1 Integrations

The Service may integrate with third-party services (e.g., Stripe for payments, GitHub for OAuth). Your use of third-party services is subject to their terms.

10.2 Links

The Service may contain links to third-party websites. We are not responsible for their content or practices.

11. Privacy

Your use of the Service is also governed by our Privacy Policy at pulsepage.app/privacy, which explains how we collect and use your personal data.

12. Disclaimers

12.1 Service Provided "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12.2 No Guarantee

We do not warrant that:

  • The Service will be uninterrupted, error-free, or secure
  • Defects will be corrected
  • The Service will meet your specific requirements
  • Content will be accurate or reliable

12.3 Beta Features

Features marked as "beta" or "experimental" are provided without warranty and may be changed or discontinued.

13. Limitation of Liability

13.1 Exclusion of Certain Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Cost of substitute services
  • Any damages arising from your use or inability to use the Service

13.2 Liability Cap

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF:

  • The amounts you paid to us in the 12 months preceding the claim, or
  • £100

13.3 Exceptions

Nothing in these Terms excludes or limits our liability for:

  • Death or personal injury caused by our negligence
  • Fraud or fraudulent misrepresentation
  • Any liability that cannot be excluded by law

13.4 Basis of the Bargain

The limitations in this section reflect the allocation of risk and form an essential basis of the agreement between us.

14. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, and expenses (including legal fees) arising from:

  • Your use of the Service
  • Your Content
  • Your violation of these Terms
  • Your violation of any third-party rights

15. Termination

15.1 Termination by You

You may stop using the Service at any time by cancelling your Subscription and deleting your Account.

15.2 Termination by Us

We may suspend or terminate your access to the Service:

  • Immediately, if you breach these Terms
  • With 30 days' notice, for any other reason

15.3 Effect of Termination

Upon termination:

  • Your right to use the Service ceases immediately
  • We may delete your Content (after a reasonable period for you to export it)
  • Provisions that should survive termination will remain in effect (including Sections 5.4, 9, 12, 13, 14, and 17)

16. Changes to Terms

We may modify these Terms at any time. When we make changes, we will notify you by sending an email to your registered address.

Changes are effective immediately upon posting. Continued use of the Service after changes constitutes acceptance. If you do not agree with the changes, you must stop using the Service.

17. General Provisions

17.1 Governing Law

These Terms are governed by the laws of England and Wales.

17.2 Dispute Resolution

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

For consumers: This does not affect your statutory rights or your right to bring proceedings in the courts of your country of residence.

17.3 Entire Agreement

These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and us regarding the Service.

17.4 Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in effect.

17.5 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver.

17.6 Assignment

You may not assign your rights under these Terms without our consent. We may assign our rights without restriction.

17.7 Force Majeure

We shall not be liable for delays or failures caused by circumstances beyond our reasonable control.

17.8 No Partnership

These Terms do not create a partnership, agency, or employment relationship.
